Banca Generali's board of directors has also set up a remuneration committee, tasked with assisting the board in laying down company policy in respect of the pay of directors, officers and top management.
The current committee was appointed by the board of directors on 21 April 2009.
On 23 March 2011 a Committee member has resigned.
As of May 10, 2011 the Board of Directors appointed a new member of the Committee.
The Remuneration Committee is therefore currently consists of these members:
All members of the committee are non-executive directors and a majority of them are also independent.
Committee members remain in office until the board that appointed them expires and are entitled to annual remuneration.
Committee meetings are generally held at least once a year and, in any event, with the timeliness necessary to allow for a full treatment and discussion of any matters on which the committee is to report of the board of directors. Along with committee members, committee meetings are attended by the chairman of the board of statutory auditors and the chief executive officer (except for meetings that involve his compensation). The committee chairman can also invite other senior managers and the head of human resources to attend.
