Milan, 15 January 2026 – Banca Generali S.p.A. (the “Bank”) announces the filing with the competent Companies Registers of Milan-Monza-Brianza-Lodi and Trieste, pursuant to Article 2501-ter of the Italian Civil Code, of the merger plan for the incorporation into the Bank of Intermonte Partners SIM S.p.A. (“IPS”), a company belonging to the Banca Generali banking group.
The merger plan has also been filed at the registered offices of the Bank and IPS, has been made available on the Bank’s website (www.bancagenerali.com) and disseminated through the authorised eMarket Storage mechanism.
The merger will be carried out by means of the simplified procedure pursuant to Article 2505 of the Italian Civil Code. In view of the above, the following documents have not been prepared having, instead, been expressly waived: (i) the directors’ reports pursuant to Article 2501-quinquies of the Italian Civil Code; (ii) the experts’ reports pursuant to Article 2501-sexies of the Italian Civil Code; and (iii) the financial statements referred to in Article 2501-quater of the Italian Civil Code.
Following and as a result of the completion of the simplified merger, the Bank will acquire a direct controlling shareholding in Intermonte SIM S.p.A. (currently held indirectly through IPS), which will therefore continue to operate as a company belonging to the Banca Generali banking group.
