The Offer will be launched through the publication of the relevant Offer document subject to the approval of Consob. The Offer document will contain the full description of the terms and conditions of the said Offer, including the manner in which it can be accepted. Before accepting the Offer, shareholders of Banca Generali S.p.A. are advised to carefully read the Offer documentation published in accordance with applicable law.
The Offer is being promoted by the Offeror exclusively in Italy, considering the shares of the Issuer are listed on the regulated market Euronext Milan managed by Borsa Italiana S.p.A. The Offer is not, and will not be, promoted or disseminated in the United States of America, Australia, Canada and Japan as well as in any other country other than Italy (such countries, including the United States of America, Australia, Canada and Japan, collectively, the “Other Countries”), either by using national or international means of communication or commerce of the Other Countries (including, without limitation, the postal network, electronic mail, telephone and internet), or through any facility of any of the financial intermediaries of the Other Countries, or in any other way).
