Milan, 9 February 2026 – Banca Generali S.p.A. (the “Bank”) announces that, on 22 January 2026, the Board of Directors of the Bank approved — pursuant to Article 2505 of the Italian Civil Code and in accordance with article 18 of the By-laws — the simplified merger project by incorporation of Intermonte Partners SIM S.p.A. (“IPS”), a company belonging to the Banca Generali banking group, into the Bank.
A corresponding resolution has been adopted on 27 January 2026 by the Board of Directors of IPS.
The resolution approving the merger adopted by the Board of Directors of the Bank has been filed with, and registered in, the Companies’ Register of Venezia Giulia and has also been made available at the Bank’s registered office as well as published on the Bank’s website (www.bancagenerali.com) and distributed through the authorised storage mechanism eMarket Storage.
It should be noted that, as a result of and following the completion of the simplified merger, the Bank will acquire a direct controlling interest in Intermonte SIM S.p.A. (currently held indirectly through IPS), which will therefore continue to operate as a company belonging to the Banca Generali banking group.
